The shares are being offered bythe Company. Morgan Stanley & Co. Incorporated is acting as leadmanager for this offering. Deutsche Banc Alex. Brown and U.S.Bancorp Piper Jaffray are acting as co-managers. The net proceedsfrom the sale of shares by the Company will be used for generalcorporate purposes, including working capital and capitalexpenditures.
