CHICAGO (ots-PRNewswire) - U.S. Can Corporation (NYSE: USC)
held its 1999 Annual Shareholders' Meeting today and elected
Charles W. Gaillard, president of General Mills, to a three year
term on its Board of Directors. Also re-elected to the Board of
Directors were current Board members Ricardo Poma, managing
partner and chief executive officer of Grupo Poma, and Louis B.
Susman, vice chairman of Investment Banking and managing director
of Salomon Smith Barney Inc.
"Mr. Gaillard will be an outstanding addition to our Board of
Directors," says U.S. Can Chairman and Chief Executive Officer,
Paul W. Jones. "His operations and marketing background will
enhance our already strong Board."
Mr. Gaillard joined General Mills in 1966 and since that time
has advanced through various food marketing management positions,
becoming executive vice president in 1989 and vice chairman in
1993. From 1989 to 1993 he was chief executive officer of Cereal
Partners worldwide, a joint venture of General Mills and Nestle,
S.A. He assumed his position as president of General Mills in
1995.
A director of Whitman Corporation, Mr. Gaillard also serves on
the board of Overseers for the Carlson School of Management of
the University of Minnesota and is vice president of the
Minnesota Orchestral Association Board. He is currently standing
for election to the Board of Directors of Valspar Corporation.
In other business, shareholders voted to approve the U.S. Can
Corporation 1999 Equity Incentive Plan, which would allow for
stock options, which would vest upon achievement of certain
Common Stock price hurdles, to be issued to attract and retain
quality personnel. "I am extremely pleased this plan was approved
because it links employee compensation to the enhancement of
long- term shareholder return," Jones says.
